On May 5, 2023, Neptune Security Services Inc. (the "Company" or "Neptune") filed a Notice of Intention to Make A Proposal and Harris & Partners Inc. was named as the Proposal Trustee. On May 18, 2023, the Company filed an assignment in bankruptcy for the general benefit of its creditors and Harris & Partners Inc. was named as Trustee.

On application by The Toronto-Dominion Bank ("TD"), msi Spergel inc. ("Spergel") was appointed as the Receiver (in such capacity, the "Receiver") of the Company pursuant to an order of the Honourable Justice Penny of the Ontario Superior Court of Justice (Commercial List) (the "Court") made on May 18, 2023 (the "Appointment Order"). Pursuant to the Substitution Order of the Court, Harris & Partners Inc. was substituted by Spergel as Trustee of the bankruptcy estate of the Company (in such capacity, the "Trustee").

The Company was in the business of providing security and investigative services. The Company filed for bankruptcy on May 18, 2023. The Receiver is not continuing any business operations of the Company. The Receiver is in the process of obtaining the books and records of the Company and currently does not have contact information with respect to the employees of the Company. All employees of the Company should take this as notice that as a result of the bankruptcy of the Company their employment has been terminated with the Company effective on the date of bankruptcy, May 18, 2023.

All former employees of the Company can obtain more information by contacting Spergel at the number and email provided below. For information regarding the Wage Earner Protection Program ("WEPP") please visit the following website Service Canada | WEPP. The Receiver will provide the information required for WEPP to the eligible employees in due course.

Please note that the Receiver/Trustee can only assist the individuals who were employed by Neptune (individuals who were paid directly by Neptune, received T4's from Neptune and received Records of Employment from Neptune). If you were employed by and getting paid by another entity (one such entity the Receiver is aware of is 13994929 Canada Inc.) please reach out to the principal/management of that entity for information with respect to any outstanding amounts in relation to your employment with that entity. The Receiver/Trustee is only able to assist with WEPP for employees of Neptune.

MESSAGE FROM SERVICE CANADA FOR EMPLOYEES

The Receiver has been advised by Service Canada that certain employees have already applied for WEPP. Please do not apply for WEPP without receiving a WEPP package from the trustee. Doing so will put you on a 45 day hold with Service Canada for processing of your claim.
